Johnson & Johnson asserts that bankruptcy is the only way to settle both present and future talc-related lawsuits definitively. That is, it thinks it will pay less if there is an element of bankruptcy that puts pressure for a settlement. Is Johnson and Johnson talc safe now. Moving past the 400-year span of American history, the company claims that bankruptcy benefits all parties because it distributes settlements more equally and efficiently than trial courts, which are where litigants get significant payouts, while others are left with nothing.
The main thrust in this 3rd Circuit decision was this is not a case of the profit-making company that has an entity to assume the legal risk and declare bankruptcy – something Congress contemplated when drafting the Bankruptcy Code. Hyperbole is not exempt: victims’ lawyers call this the biggest “fraudulent transfer ever in United States history.”
Notwithstanding the legal mumbo jumbo, J&J does not really believe this bankruptcy will be able to last. It is however a method to try and push the $8.9 billion settlement and keep the pressure on plaintiffs.
