April 12 2023 Update: People are looking for ways J&J is able to file for bankruptcy again. The answer is complicated and confusing. But let’s try to explain the issue in a simple way.
Johnson & Johnson asserts that bankruptcy is the only method to deal with both present and future talc lawsuits conclusively. In other words, it thinks it will pay less should there be an element of bankruptcy that puts pressure to settle. Asbestos class action lawsuit. Driving past the 400-year span of American past, the company asserts that bankruptcy benefits all parties because it distributes settlement payments more equitably and efficiently than trial courts, in which some litigants receive substantial award while others do not.
The basic tenet in this 3rd Circuit decision was this is not a matter of an enterprise that is profitable, forming an entity to assume the legal responsibility and declare bankruptcy – Congress considered when it was drafting the Bankruptcy Code. But it also said that the subsidiary was not financially difficulty because J&J assured it of unlimited funding.
Thus, J&J took advantage of the unlimited funding portion of the holding and didn’t make any promises to fund unlimited the litigation. J&J claims that its new financing agreements with its subsidiary will address concerns of the appeals court while providing funds for claims. As if offering victims lesser money could solve the underlying issue.
Attorneys representing cancer patients who oppose the agreement counter this argument by saying that it is a defense against legal nonsense by pointing out legal absurdity: J&J fraudulently transferred $50 billion of assets away from LTL Management to circumvent the appeals court’s previous decision. Hyperbole was not spared attorneys representing the victims claim this the biggest “fraudulent deal that has occurred in United States history.”
In spite of the legal jargon, J&J does not really believe that this bankruptcy will last. It is however a method of trying to push this $8.9 billion settlement and keep pressure on plaintiffs.
