April 12 2023 Update: Some people are looking for ways J&J can go through bankruptcy again. The answer is complex and confusing. However, let’s attempt to explain it in simple terms.
Johnson & Johnson asserts that bankruptcy is the only method to settle both present and future lawsuits involving talc conclusively. In other words, it believes that it will be less expensive in the event of an element of bankruptcy that puts pressure to settle. Moving past 400 years of American history, the firm claims that bankruptcy benefits all parties by distributing settlements more equally and more efficiently than trial courts where litigants are awarded significant awards while others receive nothing.

The essence of this 3rd Circuit decision was this is not a matter of one that makes a profit, but a subsidiary to take the legal responsibility and declare bankruptcy, which is what Congress thought of when drafting its Bankruptcy Code. But it also said it was not in financial trouble due to the fact that J&J assured it of unlimited funding.

Attorneys representing cancer victims who are against the agreement argue this argument by saying that it is a defense against legal nonsense by pointing out legal absurdity: J&J fraudulently transferred $50 billion in assets away from LTL Management to circumvent the appeals court’s earlier decision. Hyperbole was not spared: victims’ lawyers call it the most significant “fraudulent transfer in United States history.”

In spite of the legal jargon, J&J does not really believe that this bankruptcy will last. But it is a way of pushing this $8.9 billion settlement through and maintain the pressure on plaintiffs.
