April 12 2023 Update: Many are looking for ways J&J can go through bankruptcy again. The answer is complicated and confusing. However, let’s attempt to explain it in simple terms.
Johnson & Johnson asserts that bankruptcy is the only way to deal with both present and future talc litigations in a definitive manner. That is, it thinks it will pay less should there be a bankruptcy element that creates pressure to settle. Is talc safe on skin. Going back to the 400-year span of American history, the firm believes that bankruptcy is beneficial to all parties because it distributes settlement payments more equitably and efficiently than trial courts, in which some litigants receive substantial settlements while others get nothing.
The basic tenet of the 3rd Circuit decision was this is not a matter of an enterprise that is profitable, forming an entity to assume the legal burden and declare bankruptcy – Congress thought of when drafting its Bankruptcy Code. However, it also stated the company was in financial crisis because J&J offered unlimited financing.
So J&J did not hesitate to take advantage of the unlimited funding part of the holding and didn’t promise that it would provide unlimited funds for cases. The company claims that new financing agreements with its subsidiary address the appeals court’s concerns, while providing funds for claims. It’s as if giving victims less money will solve the underlying issue.
Attorneys representing cancer victims who do not agree with the agreement counter this argument by saying that it is countering legal nonsense with legal absurdity: J&J fraudulently transferred $50 billion of assets from LTL Management to circumvent the appeals court’s earlier decision. Hyperbole was not spared by the victims’ lawyers, who call it the biggest “fraudulent deal that has occurred in United States history.”
Despite all the legal jargon, J&J does not really think that the bankruptcy will endure. But it is a way of pushing this $8.9 billion settlement to keep pressure on plaintiffs.
