Johnson & Johnson (JNJ.N) has set aside $400 million to resolve U.S. state consumer protection actions as part of a larger $8.9 billion settlement of allegations that its Baby Powder and other talc products cause cancer. Talc contains asbestos.
J&J company subsidiary LTL Management filed a bankruptcy plan in New Jersey late on Monday that details how the company intends to pay for different types of cancer victims as part of the bankruptcy settlement. The company is trying for an additional time to conclude more than 38,000 lawsuits brought in bankruptcy, and to prevent any new cases from coming forward in the future.
LTL’s bankruptcy plan would pay $400 million to an additional trust to settle claims filed in state courts by attorneys general claiming that J&J had violated laws against unfair business practices in the State of New York as well as consumer protection laws by misinforming consumers regarding the quality of its talc products.

April 13, 2023 Update: The big announcement is an $8.9 billion over the next 25 years settlement offer. April 12 2023 Update: Many are asking how J&J could file for bankruptcy once more. The answer is complex and convoluted. However, let’s attempt to explain it simply.
Johnson & Johnson asserts that bankruptcy is the only method to settle both present and future talc lawsuits conclusively. In other words, it thinks it will pay less in the event of an element of bankruptcy that puts pressure to settle. Talc contains asbestos. Going back to hundreds of years of American history, the firm believes that bankruptcy is beneficial to all parties by distributing settlement payments more evenly and efficiently than trial courts, which are where litigants get significant payouts, while others are left with nothing.
The basic tenet of this 3rd Circuit decision was this is not a case – a profitable company making an entity to assume the legal risk and declare bankruptcy – Congress thought of when drafting its Bankruptcy Code. However, the court also ruled that the subsidiary was not financially trouble because J&J promised unlimited funding.
Thus, J&J took advantage of the funding unlimited part of the holding and didn’t promise to offer unlimited funding for litigation. The company claims that modified financing arrangements with its subsidiary will address appeals court’s concerns, while providing funds for claims. As if offering victims lower amounts of money would resolve the problem at hand.
Attorneys representing cancer victims who oppose the deal counter this argument by saying that it is countering legal nonsense with legal nonsense: J&J fraudulently transferred $50 billion in assets to LTL Management to circumvent the appeals court’s decision. Hyperbole did not go unnoticed the lawyers representing victims call it the largest “fraudulent deal that has occurred in United States history.”
In spite of the legal jargon, J&J does not really believe this bankruptcy will be able to last. It is however a method to push for this $8.9 billion settlement through and maintain the pressure on plaintiffs.

The involvement of funders is public knowledge due to an New Jersey court rule requiring the release of certain details about funders outside the state. February 25, 2023 Update: A Congressmen from Tennessee is now demanding that authorities from the U.S. Government Accountability Office (GAO) start an investigation into the cost J&J Talc products have cost the government in the decades.
A recent email to the GAO, Rep. Steven Cohen (D-Ten.) has accused J&J of failing to recognize the dangers of its talc-based products for long while tax dollars spent on treating people who suffered injuries from exposure to the chemicals. The lawsuit comes just a few weeks after J&J’s significant loss in the 3rd Circuit Court of Appeals.
